Protect your assets with Family Limited Partnerships (Flips)
What Flips?
It is a rocky strategy for families worrying about the land tax. FLIP-cut the estate tax bill by half or sometimes even more. It is also useful to manage your assets very effectively.
Now you can aware of the "limited partnership". Just only for your family members and it's called Flip. Limited Companies, as per the law of all 50 states, is managed only by general partners. Limited partners are not entitled to the management of family business. Let's just an extreme case where a general partner owns 1% of total assets partnership. Yet he has a 100% control over all assets of the partnership.
The same principle is extended to flips. Usually the parents in their partnership assets. Both are general partners with a very small interest. And their children are limited partners. So by doing this, they present limited partnership interests of their children.
Even though they have little interest in the partnership, they are the general partners. The limited partners own the title of the partnership interests. However, the general partners (parents) have full control over the assets of the partnership. Limited partners have no voice in management. In short, the general partners made their ownership of assets, but they have kept control in their hands. This is an excellent gift and tax planning for estate taxes.
Now the gift is made to the children in this scheme. So the gift tax applies to such gifts. However, both parents make full use of their tax credits to those paying taxes. Look, the parents have gifted interests in limited partnerships for children, not the assets. So the limited partners have no control over the assets. So the value of that interest is lower than the value of the assets. So one should be allowed to discount the value of the assets. Many court decisions have confirmed this and even IRS look. For good, the discount is great, while for liquid assets (cash) discount is obviously small. The IRS generally allows 40% discount, based on the nature of the assets.
